User Agreement

Welcome to ADL Voice Chat (the "Platform" or "App"). These Terms of Service (the "Terms") constitute a legally binding agreement between you ("You" or "User") and ADL Voice Chat, the owner and operator of the Platform and App. By accessing or using the Platform or any of its services, features, or content, you acknowledge that you have read, understood, and agree to be bound by these Terms.

This agreement outlines your rights and obligations as a user of the Platform, as well as the terms under which we provide access to and services through the App. Whether you are a registered user, a guest, or simply browsing the Platform, these Terms govern your use of ADL Voice Chat, and by continuing to use or access the App, you agree to comply with all its provisions.

1. Special Notices

1.1 This ADL Voice Chat User Agreement (this "Agreement") governs your usage of our services (hereinafter, "Services"). For the purposes of this Agreement, you and ADL Voice Chat will be jointly referred to as the "Parties" and respectively as a "Party".

1.2 By using our Services or by clicking on "Sign Up" during the registration process, you agree to all terms of this Agreement. We, at our sole discretion, may revise this Agreement from time to time, and the current version will be found at the following link: About us > User Agreement. By continuing to avail our Services, you agree to be bound by the revised Agreement.

1.3 Age Requirements: You may only use our Service if you are 13 years or older and if you are not subject to a statutory age limit to enter into this Agreement according to the applicable laws and regulations in your country. If you are below the aforementioned minimum age, you may only use ADL Voice Chat if your guardian has provided us with valid consent for you to use ADL Voice Chat. You may not falsely claim that you have reached the minimum age.

1.4 Account Responsibility: You shall be solely responsible for the safekeeping of your ADL Voice Chat account and password. All behaviors and activities conducted through your ADL Voice Chat account will be deemed as your behaviors and activities for which you shall be solely responsible.

2. Services Content

ADL Voice Chat reserves the right to change the content of its Services at its discretion, with or without notice. Some of the Services may require payment, and if you choose not to pay, ADL Voice Chat is not obligated to provide those Services to you.

ADL Voice Chat may need to perform repairs or maintenance, and if this causes an interruption in paid Services, ADL Voice Chat is not liable but will provide notice when possible. ADL Voice Chat can suspend, terminate, or restrict Services if you:

• Are underage and do not have proper parental consent
• Violate the Terms of Use (including harassment, posting sexual, religious or political content, or using abusive language)
• Fail to make a payment for paid services
• Engage in behavior that threatens the safety or integrity of the platform
• Violate applicable laws or regulations

3. Privacy

You acknowledge that you have read, understood, and agree to our Privacy Policy, which outlines how we collect, use, store, and protect your personal data. The Privacy Policy provides detailed information about the types of data we collect, how we use it to improve our services, and the measures we take to ensure your information is kept secure.

4. Paid Services

The App offers certain paid services, features, and content that are available for purchase, including premium features, virtual items (such as Coins, Diamonds, or other virtual currency), voice effects, exclusive party rooms, and other offerings designed to enhance your user experience.

By purchasing any Paid Services, you agree to comply with the terms outlined in this Agreement and any additional terms that may apply to the specific Paid Services. Payments for these services will be processed through our designated third-party payment processor, and you authorize us to charge your selected payment method for the applicable fees. You are responsible for ensuring that your payment information is accurate and up-to-date.

Virtual Items

Virtual Items have no monetary value and cannot be redeemed for cash or other items of value. Virtual Items are non-transferable except within the Services as expressly permitted by us. You do not own Virtual Items but instead purchase a limited license to use them within the Services. Any "virtual currency" balance shown in your account does not constitute a real-world balance or reflect any stored value, but instead constitutes a measurement of the extent of your license to access Paid Services.

5. Terminating Services

You have the right to terminate your use of ADL Voice Chat Services and this Agreement at any time by revoking or deleting your ADL Voice Chat account through the settings in the App or by contacting [email protected].

Upon termination, you will no longer have access to the features and services provided by the App, and any data associated with your account may be deleted or restricted, subject to our data retention policies as outlined in our Privacy Policy.

Termination by ADL Voice Chat

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in prohibited conduct, or for any other reason at our sole discretion. Upon termination:

• Your right to use the Services ceases immediately
• You will forfeit any unused Virtual Items or paid features
• We may delete your account and associated content
• You remain liable for any outstanding payment obligations

6. Disclaimers

6.1 Use at Your Own Risk: You are solely responsible for any risks associated with using ADL Voice Chat Services. Any use or reliance on ADL Voice Chat Services is done at your own risk.

6.2 "As Is" Basis: ADL Voice Chat does not guarantee that the Services will meet your requirements or that they will be uninterrupted. The timeliness, security, and accuracy of the Services are not guaranteed. You acknowledge and agree that the Services are provided by ADL Voice Chat on an "as is" basis.

6.3 External Links: ADL Voice Chat does not guarantee the accuracy and integrity of any external links that may be accessed through the Services, or any external links provided for your convenience. ADL Voice Chat shall not be responsible for the content of any linked site or any link contained therein, and shall not be held liable, directly or indirectly, for any loss or damage incurred through your use of the Services.

Furthermore, ADL Voice Chat shall not assume any responsibility for the content of any web page that you are directed to via an external link that is not under the control of ADL Voice Chat.

6.4 Force Majeure: ADL Voice Chat shall not be liable for any interruptions or deficiencies in the Services caused by force majeure or circumstances beyond the control of ADL Voice Chat. However, to the extent possible, ADL Voice Chat will make reasonable efforts to minimize any resulting losses or impact on you.

7. Content

7.1 ADL Voice Chat Content

The content, software, images, text, graphics, and other materials on ADL Voice Chat are either owned or licensed by ADL Voice Chat. It is understood that any content uploaded or transmitted by users will be owned by the users or their licensors. Unauthorized use of the ADL Voice Chat content or materials is strictly prohibited without prior written consent from ADL Voice Chat or its licensors. ADL Voice Chat and its licensors reserve all rights not expressly granted in their content.

You acknowledge and agree that we may generate revenues, increase goodwill or otherwise increase our value from your use of the Services, including, by way of example and not limitation, through the sale of Virtual Items and value-added services, and except as specifically permitted by us in these Terms or in another agreement you enter into with us, you will have no right to share in any such revenue, goodwill or value whatsoever.

You further acknowledge that, except as specifically permitted by us in these Terms or in another agreement you enter into with us, you:

• Have no right to receive any income or other consideration from any User Content or your use of any musical works, sound recordings or audiovisual clips made available to you on or through the Services
• Are prohibited from exercising any rights to monetize or obtain consideration from any User Content within the Services or on any third party service (e.g., you cannot claim User Content that has been uploaded to a social media platform such as YouTube for monetization)

License to Use Services

Subject to the terms and conditions of the Terms, you are hereby granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable, worldwide license to access and use the Services, including to download the Platform on a permitted device, and to access the ADL Voice Chat Content solely for your personal, non-commercial use through your use of the Services and solely in compliance with these Terms.

ADL Voice Chat reserves all rights not expressly granted herein in the Services and the ADL Voice Chat Content. You acknowledge and agree that ADL Voice Chat may terminate this license at any time for any reason or no reason.

Content Disclaimer

You acknowledge and agree that when you view content provided by others on the Services, you are doing so at your own risk. The content on our Services is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our Services.

We make no representations, warranties or guarantees, whether express or implied, that any ADL Voice Chat Content (including User Content) is accurate, complete or up to date. Where our Services contain links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources.

7.2 User-Generated Content

Users of the Services may be permitted to upload, post or transmit (such as via a voice stream) or otherwise make available content through the Services including, without limitation, any text, photographs, user videos, sound recordings and the musical works embodied therein, voice recordings, and other user-generated materials ("User Content").

Users of the Services may also extract all or any portion of User Content created by another user to produce additional User Content, including collaborative User Content with other users, that combine and intersperse User Content generated by more than one user. Users of the Services may also overlay music, graphics, stickers, Virtual Items and other elements provided by ADL Voice Chat ("ADL Voice Chat Elements") onto this User Content and transmit this User Content through the Services.

The information and materials in the User Content, including User Content that includes ADL Voice Chat Elements, have not been verified or approved by us. The views expressed by other users on the Services (including through use of virtual gifts) do not represent our views or values.

User Content License

Any User Content will be considered non-confidential and non-proprietary. You must not post any User Content on or through the Services or transmit to us any User Content that you consider to be confidential or proprietary. When you submit User Content through the Services, you agree and represent that you own that User Content, or you have received all necessary permissions, clearances from, or are authorized by, the owner of any part of the content to submit it to the Services, to transmit it from the Services to other third party platforms, and/or adopt any third party content.

8. Prohibited User Content and Behavior

While we encourage creativity and self-expression, you must not upload, post, or transmit any User Content that violates these terms or the rights of others. The following behaviors are strictly prohibited:

Illegal Content

You must not post, upload, or transmit any content that is illegal, including content that promotes or glorifies illegal activities or violates any applicable laws or regulations.

Harmful or Offensive Content

You are prohibited from uploading content that is abusive, harassing, defamatory, offensive, threatening, or otherwise harmful to other users. This includes hate speech, discriminatory language, or any material that promotes violence, intolerance, or discrimination based on race, ethnicity, gender, religion, sexual orientation, or other protected characteristics.

Infringement of Intellectual Property

You must not upload or transmit any User Content that infringes the intellectual property rights of others, including copyrighted works, trademarks, or other protected materials, unless you have permission from the owner or the right to do so.

Spamming or Fraudulent Behavior

You must not engage in spamming, phishing, or other deceptive activities intended to mislead or scam other users. This includes the unauthorized promotion of products or services, or using the platform to engage in any form of financial fraud.

Malicious Software

You are prohibited from uploading or transmitting any content that contains viruses, malware, or any other harmful code that may damage or interfere with the operation of the Services or the devices of other users.

Impersonation or False Information

You may not impersonate other users, streamers, or employees of ADL Voice Chat, nor provide false or misleading information about yourself or others. This includes creating fake accounts or misrepresenting your identity or affiliations.

Reporting Violations

If you believe that another user has uploaded or posted content that violates these terms, or if you wish to report any inappropriate or harmful content, please contact us through the ADL Voice Chat App Feedback section in the Settings or via email at [email protected]. We take reports seriously and will investigate complaints in accordance with our policies. Before we can take any action, you may be asked to verify your identity or account details to ensure that the request is legitimate.

9. Prohibition of CSAM

We firmly oppose and strictly prohibit any form of Child Sexual Abuse Material (CSAM) on our platform. Users are not allowed to upload, distribute, solicit, or otherwise engage with any content that involves the sexual abuse or exploitation of children. This includes, but is not limited to, images, videos, text descriptions, or any other media that depicts or implies such illegal and immoral activities.

Our platform employs advanced technologies and manual review processes to actively monitor for CSAM. However, we rely on our users to also be vigilant and report any inappropriate content they encounter. By using our social software, you agree to abide by these strict anti-CSAM policies and to support our efforts to create a safe and healthy online environment for all users, especially the most vulnerable.

Please note that the possession and distribution of CSAM is a serious criminal offense in many jurisdictions, and we will not tolerate any behavior that violates the rights and safety of children on our platform.

10. Intellectual Property

Copyright Infringement

ADL Voice Chat respects the intellectual property rights of others and expects users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify us by providing our copyright agent with the following information:

• A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
• Your contact information, including address, telephone number, and email address
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADL Voice Chat AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use or alteration of your transmissions or content

IN NO EVENT SHALL ADL Voice Chat'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID ADL Voice Chat, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless ADL Voice Chat, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party, including any users
• Your User Content

13. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive your right to a jury trial or to participate in a class action lawsuit.

Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or violations of these Terms that require immediate action.

14. Other Terms

14.1 Entire Agreement: This Agreement constitutes the entire agreement of agreed items and other relevant matters between both parties. Other than as stipulated by this Agreement, no other rights are vested in either Party to this Agreement.

14.2 Severability: If any provision of this Agreement is rendered void or unenforceable by competent authorities, in whole or in part, for any reason, the remaining provisions of this Agreement shall remain valid and binding.

14.3 Interpretation: The headings within this Agreement have been set for the sake of convenience, and shall be disregarded in the interpretation of this Agreement.

14.4 No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.5 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without ADL Voice Chat's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. ADL Voice Chat may freely assign or transfer these Terms without restriction.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
